Company Secretary (CS) is one of the principal posts in a company. He/she act as a conscience seeker of the company. A CS is responsible for regulating and efficiently managing the financial, legal and statutory requirements. Along with that he has to comply with the corporate governance that includes the welfare of all the stakeholders of the company viz shareholders, employees, customers, suppliers, financiers, government and the society. The company secretary is responsible for the efficient administration of a company, particularly with regard to ensuring compliance with statutory and regulatory requirements and for ensuring that decisions of the board of directors are implemented. The company secretary ensures that an organisation complies with relevant legislation and regulation, and keeps board members informed of their legal responsibilities. Company secretaries are the company's named representative on legal documents, and it is their responsibility to ensure that the company and its directors operate within the law.

The Institute of Company Secretaries of India (ICSI) is the only recognized professional body in India to develop and regulate the profession of Company Secretaries. At present, there are only 60,000 members and about 4,00,000 students on the rolls of ICSI. Out of which around 20000 members are into practice and around 10000 is multi qualified / not into the CS profession, remaining 25000 - 30000 members into the employment in Companies. Approximate 13 Lakhs companies are registered in India, out of which around 3 lakhs companies are required to appoint a full time company Secretary in employment and rest of the companies needs support from the practicing company secretaries for the compliances aspects.
